Agreement. SNA agrees to provide to Customer, and Customer agrees to accept from SNA, SNA’s high-speed Internet access through an HSIA connection at the Premises (hereinafter the “Services”). The Services are more particularly described on Exhibit A, attached hereto and made a part hereof by this reference. By ordering and using the Services, Customer agrees to be – and to ensure that all of its employees and any third parties using the Services with the consent, express or implied, of Customer, agree tobe – bound by and obligated to use the Services under and in compliance with the terms and provisions of this Agreement. During the term of this Agreement, SNA grants Customer a non-exclusive, revocable, non-transferable, limited license to use the Services. Notwithstanding Section 17, notification of changes in Services will be sent via e-mail or postal mail. Customer’s use of the Services after such notice shall constitute Customer’s acceptance of such modification(s) as an amendment to this Agreement. To utilize the Services, Customer’s representatives must be at least 18 years old.
- Term and Termination. A minimum term of six (6) months required. This Agreement shall become effective as of _________, and shall continue in full force and effectthrough the last day of the sixth (6th) full calendar month thereafter, at which time it shall automatically renew on a month-to-month basis until terminated by either party upon not less than thirty (30) days’ written notice to the other party. SNA, in its sole business judgment, may terminate this Agreement immediately or suspend Customer’s access to the Services upon any breach of this Agreement by Customer, including, but not limited to, refusal or failure to pay for the Services, or failure to use the Services in accordance with the terms and conditions of this Agreement. Upon termination for any reason, SNA reserves the right, without liability to Customer, to delete any data left by Customer on SNA-owned and/or controlled computers. Sections 8, 9, and 10 of this Agreement shall survive the termination of this Agreement.
